New Affiliate Enrollment
Affiliate Policies and Procedures 1. I am of legal age in the state of my residency. I agree that I am an independent contractor responsible for determining my own business activities. I am not an agent, employee or legal representative of Discount Membership Club, hereafter referred to as “Company”, and will not represent in any manner that I am an agent, employee or legal representative of the Company. I am responsible for the payment of all federal and state self-employment taxes and any other tax required under any federal, state or regulatory taxing agency. 2. This position does not constitute the sale of a franchise or a distributorship and no product purchase for participation as an Affiliate is required of me. 3. In order to maintain a viable Marketing Program and to comply with changes in federal, state or local laws and economic conditions, the Company may update its Policies and Procedures for Affiliates from time to time, as well as to modify its Affiliate Program. Such Policies and Procedures and Program modifications, and all changes thereto, shall become a binding part of this Agreement upon publication. 4. I understand that my Affiliate position can be inherited or bequeathed, but cannot be transferred or assigned during my lifetime without written consent of the Company which consent will not be unreasonably withheld. 5. I will not make false or misleading statements about the Company’s products or the Affiliate position. 6. Any commissions paid on subsequently returned orders will be deducted from the next commission payout. In the event of a negative payout, I will be responsible for reimbursement of my commissions received on the returned order(s). 7. I understand that any violation of these Policies and Procedures may result in suspension or termination of my Affiliate position at the Company’s sole discretion. 8. This Agreement is governed by the laws of Texas. The parties agree that any claim, dispute or other difference between them shall be exclusively resolved by binding arbitration pursuant to the Commercial Arbitration Rules of the American Arbitration Association with arbitration to occur at Harris County, Texas. Louisiana Affiliates may choose Louisiana law, and may arbitrate at New Orleans, Louisiana. 9. This Agreement shall be deemed in effect at the time of enrollment and acceptance of this document by the affiliate. 10. A participant in this affiliate program has the right to cancel at any time, regardless of reason. Cancellation must be submitted in writing to the Company at its principal business address: 7322 Southwest Freeway, Suite 2000, Houston, Texas 77074, USA.
